For forty years, I have served the needs of for-profit businesses, not-for-profit organizations, healthcare providers, entrepreneurs, and families. I regularly advise clients regarding business formation and taxation, mergers and acquisitions, commercial contracting and financing, governance and planning, ownership and leadership succession, and real estate acquisition, financing, and leasing.

Based upon my experience, I make a significant effort to build a relationship with clients and their teams to understand the intra–company skills, goals, capacity, and dynamics in order to pragmatically advise clients in the current commercial and legal environment. Lawyering should be practical and individualized to meet the needs and aspirations of clients.

During my career, I have had the opportunity to serve on boards and committees of more than twenty non-profit organizations, government commissions, and business groups. I currently serve as the Chair of the New Hampshire Telephone Museum in Warner.

When not in the office, I can be found in the mountains hiking or skiing, paddle boarding on lakes and rivers, or biking on roads and trails. I relish the opportunity to take in live music performances at small venues and explore new places.

  • Represented seller of ownership interests in eighteen inter-related operating entities and real estate holding companies
  • Represented seller in sale of assisted living facility assets to investment fund affiliate of large Insurance company.
  • Represented individual clients in the sale of New Hampshire real estate in a Section 1031 exchange, and acquisition of replacement property in Wisconsin with another 1031 exchanger, structured as tenancy in common ownership.
  • Represented founding shareholders of a New Hampshire trust company in the sale of shares with a follow-on merger into a New Hampshire mutual bank.
  • Represented seller of assets of non-retail division of regional commercial and municipal specialty service provider to Pennsylvania competitor.
  • Regularly involved in commercial real estate transactions and financings.
  • Work frequently with clients on generational business transitions, often involving redemptions, seller financing, deferred compensation, and recapitalizations.
